Business Roundtable Names Michael J. Ryan Jr. as Vice President

Washington – Business Roundtable today named Michael J. Ryan Jr. as Vice President overseeing corporate governance and other financial services-related issues. In this role he will oversee all Business Roundtable policy initiatives in these areas, helping to shape and advance Business Roundtable member companies’ priorities. Ryan brings more than 20 years of public- and private-sector experience to the position and a strong understanding of accounting, financial and operational discipline, risk management and compliance procedures. He joins the Roundtable most recently from Corporate Board Member, a NYSE Euronext Company, where he was Senior Vice President and Managing Director of Board Services. 

“Mike’s background and experience in public policy and the private sector make him precisely the right person to lead the Roundtable’s corporate governance and other financial services-related work,” said Business Roundtable President John Engler. “The issue areas Mike will oversee are critical to the growth and success of our member companies and, ultimately, the long-term growth of our economy, and he intimately understands the importance of getting the policies right.”

Prior to Corporate Board Member, Ryan served as President and Chief Operating Officer at PROXY Governance, Inc., and previously worked for the U.S. Chamber of Commerce. While at the Chamber, Ryan served as Executive Director and Senior Vice President for the Center for Capital Markets and Competitiveness, and the Executive Director for the Commission on the Regulation of the U.S. Capital Markets in the 21st century. Both of those roles focused on the regulation of U.S. financial services and oversight.

Before joining the Chamber, Ryan spent seven years at the American Stock Exchange (Amex), where he served as Executive Vice President and General Counsel and a Member of the Office of the Chairman. In these roles, Ryan managed a $6 million annual budget, was responsible for centralizing all Amex legal functions into the Office of the General Counsel and played a central role in managing the daily operations of the exchange. Prior to his service at the Amex, Ryan served as Counsel to the Chairman at the National Association of Securities Dealers – now known as FINRA – and managed NASD’s purchase of the Amex.

Before joining the private sector, Ryan spent almost six years in the public sector, including more than four years at the U.S. Securities and Exchange Commission (SEC). In these roles, he oversaw commercial litigation, legal and compliance issues, reviewed company registration statements and related filings, and analyzed legal and policy issues concerning market structure proposals at the SEC.

Ryan began his career at Price Waterhouse & Co. – now PricewaterhouseCoopers – where he rose to the level of senior accountant. He is a certified public accountant and member of the Maryland Bar, and currently serves as an adjunct professor of law at The Catholic University of America. He graduated with a B.S. in Accountancy from Villanova University and earned his Juris Doctorate from The Columbus School of Law at The Catholic University of America.

Ryan previously served on the Boards of Directors for PROXY Governance, Inc. (’08-’11), The Options Clearing Corporation (’03-‘05) and the Children’s Neurobiological Solutions Foundation (’03-’06).
